upWard Bookkeeping Solutions provides virtual bookkeeping and related support services, which may include monthly bookkeeping, bookkeeping cleanup, QuickBooks Online setup, payroll support, 1099 filing support, accounts receivable, and accounts payable services.
The specific scope, timing, fees, deliverables, responsibilities, and limitations of services will be governed by a separate written engagement letter, service agreement, proposal, or invoice accepted by the client. If there is a conflict between these Terms and a signed client agreement, the signed client agreement controls.
No Tax or Legal Advice
Unless expressly agreed in writing, upWard Bookkeeping Solutions does not provide legal, investment, financial-planning, tax-preparation, tax-advice, or audit services.
You are responsible for consulting qualified legal, tax, payroll, and financial professionals regarding decisions, filings, compliance obligations, and the interpretation of financial information. Bookkeeping records and reports are prepared from information provided by you and are not a substitute for professional tax or legal advice.
Client Responsibilities
To receive accurate and timely services, clients must:

Provide complete, accurate, and timely records, account access, documents, and responses.

Maintain ownership and control of their financial accounts and accounting software.

Review financial reports, reconciliations, and deliverables promptly.

Notify us quickly of suspected errors, fraud, unauthorized transactions, or changes that could affect bookkeeping records.

Retain original records and documentation as required by law.

Make final decisions regarding the operation, management, and financial affairs of their business.
We are not responsible for errors, delays, penalties, missed deadlines, or inaccurate reporting caused by incomplete, incorrect, delayed, or withheld client information.
Payments and Fees
Fees, payment terms, deposits, late fees, and cancellation terms will be stated in your applicable proposal, invoice, or service agreement. Unless otherwise agreed in writing, payments are due according to the terms shown on the invoice.
We may pause or terminate services for overdue balances, lack of required information, noncooperation, or conduct that prevents us from performing services safely and professionally.
Confidentiality
We will take reasonable steps to maintain the confidentiality of client information and use it only as necessary to provide services, operate our business, comply with law, or enforce our agreements. You authorize us to use approved third-party platforms and service providers reasonably necessary to perform agreed services.
Intellectual Property
